Kisi Kiosk Pro Terms and Conditions

Version 1.0 | Last Updated Oct 30, 2026

These Kisi Kiosk Pro Terms and Conditions (the “Terms”) are entered into between the customer identified in the applicable Order Form (“Customer,” “you” or “your”) and Kisi Incorporated, a Delaware corporation (“Kisi,” “we,” “us” or “our”), and govern Customer’s purchase and use of Kiosk Pro.

1. Scope and Applicability

1.1. Application. These Terms apply whenever you order or use Kiosk Pro from Kisi.

1.2. Related Agreements. These Terms supplement your other agreements with Kisi for the Kisi platform whenever you order or use Kiosk Pro. Those agreements are the Kisi Master Subscription Agreement (the “MSA”), including the agreements and policies referenced therein, including, without limitation, the Kisi End User Agreement (the “EUA”), the Kisi Data Processing Agreement (the “DPA”), the Kisi Hardware Return and Warranty Policy (the “Hardware Policy”), together with Kisi’s Privacy Policy (collectively, the “Kisi Agreement”).

1.3. Order of Precedence. The order of precedence among the Kisi Agreements is set out in Section 12.3 of the MSA, under which these Terms, as product-specific terms, control with respect to Kiosk Pro only. An Order Form will control over these Terms only with respect to prices, quantities and payment terms. Nothing in these Terms reduces Kisi’s obligations under the DPA. Capitalized terms not defined in these Terms have the meanings given to them in the MSA.

1.4. Business Use Only. Kiosk Pro is provided for business use only and not for personal, family or household use. The individual accepting these Terms on behalf of Customer represents that he or she has the authority to bind Customer.

2. Definitions

2.1. “Accessories” means any hardware, other than the Tablet, that Kisi supplies as part of Kiosk Pro and that is listed in the Order Form, including without limitation, a badge printer.

2.2. “Device Management” means the tools and services Kisi uses to configure, lock and remotely manage the Tablet, including Samsung Knox and TinyMDM.

2.3. “Kiosk App” means Kisi’s kiosk software application installed on the Tablet.

2.4. “Kiosk Pro” means the Kisi offering described in Section 4, consisting of the Tablet, the Kiosk App, Device Management and any Accessories.

2.5. “Kiosk Pro Subscription” means Customer’s active subscription to the Kisi platform under an Order Form that includes Kiosk Pro.

2.6. “Kiosk User” means any individual who uses or interacts with the Tablet at Customer’s premises, including Customer’s employees, members and visitors, whether or not that individual is an End User under the MSA.

2.7. “Order Form” has the meaning given to it in the MSA and includes any quote or online order for Kiosk Pro accepted by Kisi.

2.8. “Tablet” means the Samsung tablet that Kisi supplies as part of Kiosk Pro.

3. Acceptance; Consent to Device Management

3.1. Acceptance. You accept these Terms upon the earliest of: (i) your execution of an Order Form that references these Terms; (ii) your selection of “I agree” or a similar checkbox when ordering online; or (iii) your completion of the setup process on the Tablet.

3.2. Express Consent. By accepting these Terms, you expressly consent, upon acceptance of these Terms, to: (i) the enrollment of the Tablet in Device Management, including Samsung Knox; (ii) the software that Kisi installs on the Tablet, including the Kiosk App; and (iii) Kisi’s ongoing remote management of the Tablet as described in Section 7.

3.3. Refusal. If you do not agree to these Terms, you must not order Kiosk Pro or set up the Tablet. You may cancel an order before delivery by notifying Kisi at support@getkisi.com.

4. Kiosk Pro

4.1. Components. Kiosk Pro consists of: (i) a Tablet, pre-configured by Kisi and locked in kiosk mode to run only the Kiosk App; (ii) the Kiosk App, provided as part of your Kiosk Pro Subscription; (iii) Device Management, provided by Kisi for as long as you maintain an active Kiosk Pro Subscription; and (iv) any Accessories listed in the Order Form.

4.2. Tablet Model. Kisi will select a compatible Samsung tablet model. Samsung determines its models, specifications and inventory, which may change without notice. Any model or specification identified by Kisi is subject to availability. Kisi may supply a different model of similar quality and functionality.

4.3. Requirements. Kiosk Pro requires an active Kiosk Pro Subscription, a power source and an internet connection.

5. Ordering, Price and Delivery

5.1. Price and Payment. You will pay the prices, and comply with the payment terms, stated in the Order Form. Prices exclude taxes and shipping unless the Order Form states otherwise, and taxes are governed by Section 4.3 (Taxes) of the MSA. If Kisi supplies the Tablet at no charge, the Order Form will indicate same, and these Terms will continue to apply.

5.2. Availability. All orders are subject to availability. Kisi may delay delivery, or cancel all or part of an order, if Tablets are unavailable. If Kisi cancels an order, Kisi will refund the amounts paid for any items not delivered.

5.3. Delivery. Kisi will deliver to the address within the Territory stated in the Order Form. Delivery dates are estimates only. Risk of loss or damage passes to you upon delivery.

5.4. Title. Title to the Tablet and Accessories passes to you upon delivery or, where a price is charged, upon payment in full. The Kiosk App and the Device Management software are licensed, not sold.

5.5. Inspection and Acceptance. You must inspect each delivery promptly. If any item is missing, damaged or does not function upon first setup, you must submit a Delivery Claim under Section 12.1. If you do not submit a Delivery Claim within the period stated in Section 12.1, the delivery will be deemed accepted. Acceptance does not affect Samsung’s warranty or any derivations therefrom.

6. Territory; No Resale

6.1. Territory. The Tablet is authorized for use only within the fifty (50) states of the United States and the District of Columbia (the “Territory”). You must not use, ship, export or relocate the Tablet to any United States territory (including Puerto Rico and Guam) or to any location outside the United States.

6.2. No Resale. You are acquiring the Tablet solely for use in your own business. Except as permitted under Section 6.3, you must not resell, rent, lease, lend or otherwise transfer the Tablet to any third party, and you must not list the Tablet for sale on any online marketplace or shopping platform.

6.3. Transfers. You must not transfer the Tablet while it is enrolled in Device Management. If a transfer is required (for example, in connection with the sale of your business), you must first notify Kisi at support@getkisi.com, and Kisi will either release the Tablet under Section 15.2 or require the transferee to accept these Terms.

6.4. Export Control. You will comply with all applicable United States export control and economic sanctions laws in connection with the Tablet and Kiosk Pro.

7. Device Management

7.1. Enrollment. Upon first connecting to the internet, the Tablet will automatically enroll in Device Management, and the Kiosk App will be installed. You will be asked to confirm the enrollment during setup.

7.2. Remote Management. Through Device Management, Kisi may remotely: (i) lock the Tablet in kiosk mode; (ii) install, update or remove applications; (iii) change device settings; (iv) control software and firmware updates; (v) determine the Tablet’s location; and (vi) lock or reset the Tablet if it is lost or stolen.

7.3. Restrictions. Only Kisi’s authorized administrators may modify, update or upgrade the Tablet. You will not, and will not permit any Kiosk User or third party to: (i) update the Tablet’s firmware or operating system; (ii) change device settings or override Samsung Knox policies; (iii) remove, disable or circumvent Device Management or kiosk mode; (iv) root, unlock or otherwise tamper with the Tablet; or (v) install any other application on the Tablet, or use the Tablet for any purpose other than running the Kiosk App.

7.4. Updates and Feature Limitations. To maintain kiosk mode, Kisi may delay or control firmware and software updates. As a result, the Tablet may not always run Samsung’s latest software. Kiosk mode also disables many standard tablet features.

7.5. TinyMDM. As part of Device Management, Kisi uses TinyMDM, a third-party, Samsung Knox-validated device management platform. You are not required to hold a TinyMDM account, and TinyMDM is not a party to these Terms.

8. Customer Responsibilities

You will: (i) keep the Tablet in a reasonably secure location with a power source and an internet connection; (ii) use Kiosk Pro only for lawful business purposes and in accordance with the EUA; (iii) promptly notify Kisi if a Tablet is lost, stolen, damaged or tampered with; (iv) ensure that Kiosk Users comply with Section 7.3; (v) follow Samsung’s safety instructions and the instructions for any Accessories; and (vi) provide the notices and obtain the consents required under Section 9.

9. Device Data

9.1. Data Collected by Samsung. Kisi enrolls the Tablet in Device Management through Samsung Knox Mobile Enrollment. To provide that service, Samsung processes the Tablet’s device identifiers (such as its IMEI and serial number), its model and its enrollment status. Samsung may store this data on its services or servers.

9.2. Data Processed by TinyMDM and Kisi. TinyMDM processes device management data to provide Device Management, acting as both a controller and a processor of that data. Kisi processes data collected through the Kiosk App and the Kisi platform, such as visitor check-in details, in accordance with the DPA and Kisi’s Privacy Policy. Kisi’s subprocessors are listed on the Kisi Trust Center at https://trust.getkisi.com.

9.3. Notice and Consent. You are responsible for your Kiosk Users. Before any Kiosk User uses the Tablet, you will: (i) clearly inform Kiosk Users that the data described in Section 9.1, including any personal data or personal information, will be collected through the Tablet and provided to Samsung by Kisi, and may be stored on Samsung’s services or servers; (ii) where required by applicable law, obtain Kiosk Users’ valid consent to the collection, modification, use and other processing of that data; and (iii) clearly inform Kiosk Users, and where required by applicable law obtain their consent, that the data may be delivered to third-party agents and other cloud consoles through application programming interfaces (REST APIs), which are standard connections that let software systems exchange data automatically. A clear notice displayed on or near the Tablet is one practical means of providing this information, and you are responsible for determining what applicable law requires. These obligations are in addition to your obligations as a Controller under the DPA.

9.4. Samsung Not Responsible. You acknowledge and agree that Samsung is not responsible for any liability arising from or relating to the data processing described in this Section 9, including the delivery or transfer of the data. Kisi is likewise not responsible for Samsung’s processing of that data.

9.5. Shared Device. The Tablet is a shared business device. You will not, and will ensure that Kiosk Users do not, use the Tablet to access personal accounts or to store personal files.

10. Warranties

10.1. Samsung Warranty. Samsung provides the hardware warranty for the Tablet directly to you under Samsung’s standard limited warranty terms. Kisi does not make any warranty on Samsung’s behalf and cannot extend or modify Samsung’s warranty.

10.2. Effect of Kiosk Mode. The Samsung Knox kiosk-mode configuration, including the restrictions on firmware updates, may limit Samsung’s warranty coverage. Kisi makes no representation regarding the scope of Samsung’s warranty.

10.3. Accessories. Accessories are covered solely by their manufacturer’s warranty, if any.

10.4. Device Management. Device Management, including the TinyMDM platform, is provided “as is” and without warranty of any kind.

10.5. Kiosk App. Any warranty for the Kiosk App and the Kisi platform is set out in the MSA.

10.6. Hardware Policy. The Hardware Policy applies only to Kisi-manufactured Hardware and does not apply to the Tablet or the Accessories.

10.7. DISCLAIMER. EXCEPT AS EXPRESSLY STATED IN THE MSA OR SECTION 12 OF THESE TERMS, KISI PROVIDES THE TABLET, THE ACCESSORIES AND DEVICE MANAGEMENT “AS IS” AND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, KISI DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. KISI DOES NOT WARRANT THAT KIOSK PRO WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

11. Support

11.1. Kisi Support. Kisi will provide support for the Kiosk App, setup, enrollment, Device Management and general questions regarding Kiosk Pro in accordance with Exhibit A (Maintenance and Support) of the MSA.

11.2. Samsung and Accessory Support. Samsung supports Tablet hardware faults and warranty claims under Samsung’s warranty terms. The manufacturer of each Accessory supports that Accessory under its own warranty terms.

11.3. Point of Contact. Kisi is your sole point of contact for Device Management, and you are not required to contact TinyMDM. If you are unsure whom to contact for any issue, you may contact Kisi, and Kisi will direct you accordingly.

12. Delivery Claims, Returns and Defective Items

12.1. Delivery Claims. If any item in your order is missing, arrives damaged or does not function upon first setup, you must notify Kisi at support@getkisi.com within seven (7) days after the date of delivery if any item is missing or arrives damaged, or within thirty (30) days after the date of delivery if any item does not function upon first setup (a “Delivery Claim”). “First setup” means the Tablet’s first enrollment in Device Management or, for an Accessory, its first use with the Tablet. Each Delivery Claim must include:

  • (a) your order number;
  • (b) the serial number of the affected Tablet, or the model and serial number of the affected Accessory;
  • (c) a description of what is missing, damaged or not functioning; and
  • (d) for damage, clear photographs of the item, the shipping box, the inner packaging and the shipping label.

12.2. Obligations Pending Resolution. Until Kisi resolves your Delivery Claim, you will:

  • (a) retain the original packaging and all contents;
  • (b) not set up or continue to use any damaged item; and
  • (c) upon Kisi’s request, return the item to Kisi for inspection under Section 12.6.

If the shipping box shows visible damage upon delivery, you should note the damage on the carrier’s delivery receipt where possible.

12.3. Resolution. Kisi will review each Delivery Claim and respond within a reasonable time. If Kisi confirms the Delivery Claim, Kisi will, at its option, deliver the missing item or replace or refund the affected item. Kisi may reject any Delivery Claim that is submitted late, does not include the information required by Section 12.1, or relates to damage occurring after delivery.

12.4. Defects After the Claim Period. After the Delivery Claim period, hardware defects are covered solely by Samsung’s warranty for the Tablet (Sections 10.1 and 10.2) or the manufacturer’s warranty for an Accessory (Section 10.3), and support is provided as set out in Section 11.

12.5. Other Returns. Kisi does not accept returns of Tablets or Accessories that are functional and undamaged, unless the Order Form states otherwise.

12.6. Return Procedure. You must not return any item without Kisi’s prior approval. For any approved return, you will:

  • (a) use only the shipping label and packing instructions provided by Kisi, as Tablets contain lithium batteries that are subject to carrier shipping regulations;
  • (b) ship the item from an address within the Territory; and
  • (c) not reset the Tablet or remove Device Management, as Kisi will release the Tablet from Device Management and erase its data.

Customer is responsible for return shipping costs, including the cost of any shipping label provided by Kisi, which Kisi may invoice to you, unless otherwise agreed in writing. Title to any item that Kisi replaces or refunds passes to Kisi upon Kisi’s receipt of the returned item. A return, replacement or refund under this Section 12 does not relieve you of any payment obligation under the MSA or an Order Form.

12.7. EXCLUSIVE REMEDIES. THE REMEDIES IN THIS SECTION 12 ARE YOUR SOLE AND EXCLUSIVE REMEDIES, AND KISI’S SOLE OBLIGATIONS, FOR MISSING, DAMAGED OR NON-FUNCTIONING TABLETS AND ACCESSORIES. THIS SECTION 12.7 DOES NOT LIMIT SAMSUNG’S WARRANTY, ANY ACCESSORY MANUFACTURER’S WARRANTY, OR ANY RIGHT THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

13. Limitation of Liability

13.1. LIABILITY CAP. KISI’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE TABLET, THE ACCESSORIES OR DEVICE MANAGEMENT WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO KISI FOR KIOSK PRO, INCLUDING THE KIOSK APP, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR SUCH CLAIMS, THIS SECTION 13.1 APPLIES IN PLACE OF SECTION 10.1(B) OF THE MSA.

13.2. EXCLUSION OF DAMAGES. IN NO EVENT WILL KISI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE OR DATA, BUSINESS INTERRUPTION OR THE COST OF SUBSTITUTE PRODUCTS, ARISING FROM OR RELATING TO KIOSK PRO.

13.3. Third-Party Products and External Causes. Kisi is not liable for: (i) the products, services or decisions of Samsung or TinyMDM, including Samsung’s warranty decisions; (ii) internet, power or network failures; or (iii) any issue caused by misuse of the Tablet or by any modification not made by Kisi.

13.4. Exceptions. The exceptions set out in Section 10.1 (Limitation of Liability) of the MSA apply equally to this Section 13. Nothing in these Terms limits any liability that cannot be limited under applicable law, and this Section 13 does not limit your payment obligations or your obligations under Section 14.

14. Indemnification

You will defend, indemnify and hold harmless the Kisi Indemnified Parties (as defined in the MSA) from and against any Claim (as defined in the MSA), including reasonable legal fees and expenses, to the extent arising from: (i) your breach of Sections 6, 7.3, 8 or 9; (ii) your failure to provide the notices or obtain the consents required under Section 9; or (iii) any modification of, or tampering with, the Tablet by you or any Kiosk User. The indemnification procedures in Section 9.3 of the MSA apply.

15. Term, Release and Suspension

15.1. Term. Device Management continues for as long as you maintain an active Kiosk Pro Subscription.

15.2. Release of the Tablet. Upon the expiration or termination of your Kiosk Pro Subscription, or upon your request, Kisi will release the Tablet from Device Management within thirty (30) days. Upon release, Kisi will reset the Tablet to factory settings, which will erase all data stored on it, and the Kiosk App and Device Management will cease to function on the Tablet.

15.3. Suspension. Kisi may suspend the Kiosk App or Device Management on the grounds set out in Section 7.3 (Suspension) of the MSA and, in addition, if you breach Section 6, 7.3 or 9 of these Terms or if suspension is reasonably necessary to protect the security of the Tablet or the Kisi platform. Kisi will use reasonable efforts to notify you in advance of any suspension.

15.4. Discontinuation. Kisi may discontinue offering Kiosk Pro to new customers at any time. If Kisi ceases to provide Device Management for Tablets already supplied, Kisi will provide at least sixty (60) days’ prior written notice and release those Tablets under Section 15.2.

15.5. Survival. Section 6 (until the Tablet is released under Section 15.2) and Sections 9, 10, 12.7, 13, 14, 15.2, 15.4 and 17 will survive any expiration or termination of these Terms.

16. Trademarks; No Endorsement

16.1. “Samsung” and Samsung’s device model names are trademarks of Samsung Electronics Co., Ltd. Kisi is not affiliated with, sponsored by or endorsed by Samsung with respect to Kiosk Pro.

16.2. TinyMDM is a trademark of Ars Nova Systems SAS. Kisi’s use of TinyMDM does not imply any endorsement by TinyMDM of Kisi’s products or services.

17. General

17.1. Governing Law; Dispute Resolution. These Terms are governed by the laws of the State of New York, excluding its conflict of laws provisions. Any dispute arising from or relating to these Terms will be resolved in accordance with Section 12.1 (Governing Law; Dispute Resolution) of the MSA.

17.2. Updates. Kisi may update these Terms by posting an updated version with a new “Last Updated” date. For material changes, Kisi will notify you by email or through the Kisi platform at least thirty (30) days before the changes take effect. Your continued use of Kiosk Pro after that date constitutes acceptance of the updated Terms. Updates apply to orders accepted on or after their effective date and to any renewal of your Kiosk Pro Subscription after that date.

17.3. Force Majeure. Section 12.10 (Force Majeure) of the MSA applies to these Terms. Without limiting that Section, Kisi is not liable for any delay or failure caused by supply shortages or by Samsung’s inventory or allocation decisions.

17.4. Assignment. You may not assign these Terms except as permitted under Section 12.2 (Assignment) of the MSA.

17.5. Notices. Notices under these Terms will be given in accordance with Section 12.6 (Notices) of the MSA.

17.6. Entire Agreement; Severability. These Terms, the Kisi Agreements and the applicable Order Form constitute the entire agreement between the parties with respect to Kiosk Pro. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

17.7. No Third-Party Beneficiaries. Samsung and TinyMDM are not parties to these Terms, and, except for the Kisi Indemnified Parties under Section 14, no third party has any rights under these Terms.
